Contract Negotiation
We advice our clients in the drafting and negotiation of all types of commercial contracts, including but not limited to agency, purchase and sale, distribution, franchises, supply agreements, and distribution, among others. Our approach to contract negotiation seeks client protection from an integral point of view, covering commercial, tax, regulatory, and employment law aspects.


Mergers & Acquisitions
Our M&A practice begins with the due diligence investigation of the target. We also advice sellers in the preparation of physical and electronic data rooms.

Next, we advice buyers or sellers in the negotiation and drafting of preliminary and final purchase and sale agreements, merger agreements, or other ancillary agreements, as the case may be. When necessary, we prepare all the documentation for merger review at Procompetencia, as well as the administrative authorizations for those sectors where such authorizations are required (e.g., Telecommunications).


Project Finance

International Trade
Imery Urdaneta renders legal advice in the areas of commercial, tax, and customs regimes provided in international agreements ratified by Venezuela and other trading partners, including regional agreements such as Mercosur, Andean Community, among others. We also render advice in dumping and countervailing duties cases.
